PROFESSIONAL EXPERIENCE

 

          Litigation: Substantial and broad experience in all aspects of litigation in the Law and Chancery Divisions of Superior Court, additional experience in U.S. District Courts; including drafting of pleadings, conducting paper discovery, taking/defending depositions, motion practice and oral argument on both procedural and dispositive issues, settlement negotiations, and trial work; prior and present matters include complex, multi-party litigation throughout New Jersey.

 

          Transactional: Comprehensive representation of individuals and businesses in commercial and residential real estate transactions (purchases and sales); business entity organization and commercial transactions. Real Estate experience includes contract drafting and negotiation, negotiation with lenders, due diligence reviews; loan and title closings; preparation of mortgages and related documents; post-closing matters including landlord-tenant disputes and litigation; and general business counseling. Specific transactions include: individual's acquisition and financing of apartment building; refinancing of multiple properties; professional practice's purchase of office building and related financing; representation of successful bidders at foreclosure sales, including resolution of title issues, negotiation with other creditors, acceptance of deed and subsequent conveyancing of property. Commercial experience includes formation of business entities, including preparation of organizational documentation; drafting of shareholder agreements; sales and purchases of entities and/or substantial assets; counseling of management with regard to operational issues such as employment agreements, business conduct, contractual matters and collections/financing. Specific transactions include reorganization of professional practice; sole shareholder’s sale of stock/business to employee; drafting of professional employment agreements (employees and employers represented); organization of real estate partnership for residential development.

 

          Appeals: Heavy appellate practice experience from both appellant's and respondent's perspective; responsible for numerous matters before the New Jersey Supreme Court and Appellate Division; author of more than fifty appellate briefs; prepared and presented emergent applications and motions.

 

          Municipal/Land Use: Substantial and extensive involvement in litigation and proceedings effecting or involving municipalities and their land use agencies; representation of businesses and individuals before municipal agencies for development approval and other applications, including multi-session hearings on large-scale subdivision and site plan applications; representation of objectors before land use agencies; prosecution and defense of numerous prerogative writ cases from the pleading stage through pre-trial, trial and appeal. Annual lecturer at Symposia for Planning Board and Board of Adjustment members, (Land Use Committee, Bergen County Bar Association).
